By accessing or using the Services, you (“you” or “Client”) agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Acceptance
You must be at least 18 years old and authorized to enter into these Terms on behalf of yourself or the business you represent. The Services are intended for business use.
2. The Services
We provide a managed AI call-answering and messaging service and related software, configured to answer calls, capture leads, book appointments where supported, route calls, and send notifications. The Services rely on third-party platforms and carriers (see Section 8). Features available to you depend on your selected plan or agreement.
3. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend accounts we reasonably believe are compromised or used in violation of these Terms.
4. Acceptable Use
You agree not to, and not to permit others to:
- Use the Services for any unlawful, fraudulent, deceptive, harassing, or abusive purpose.
- Use the calling or messaging features to send communications that violate the Telephone Consumer Protection Act (TCPA), CAN-SPAM, call-recording consent laws, or any other applicable law.
- Send unsolicited, spam, or bulk messages to recipients who have not consented.
- Upload unlawful content or content that infringes others’ rights.
- Reverse-engineer, resell, sublicense, or white-label the Services except as expressly authorized in writing.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services or underlying systems.
We may suspend or terminate access for violations, without refund, and cooperate with lawful investigations.
5. Your Compliance Obligations
You are solely responsible for the legality of how you use the Services with your own customers and callers, including:
- Obtaining any required consent from your callers/customers to contact and to record calls, and providing any required disclosures.
- Ensuring your messaging content and cadence comply with the TCPA, carrier (A2P 10DLC) requirements, and applicable state law.
- Providing your own customers with any privacy notice the law requires (you are the controller of your customers’ data; see our Privacy Policy).
- Providing accurate business information used to configure the Services.
6. Fees & Payment
Fees, billing frequency, and payment terms are set in your order or separate agreement. Unless stated otherwise: fees are billed in advance and are non-refundable except as expressly provided; you authorize us to charge your payment method on file; past-due amounts may incur late fees and interest to the extent permitted by law; and we may suspend the Services for non-payment. Taxes are your responsibility.
7. Intellectual Property
We and our licensors own all rights in the Services, including our software, configurations, templates, prompts, workflows, know-how, trademarks, and the Service Solutions.AI brand. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during your term. You retain ownership of your own business data and content you provide; you grant us the rights needed to process it to deliver the Services. You may not use our marks without written permission.
8. Third-Party Platforms & Dependencies
The Services are built on and depend on third-party platforms and carriers (including, without limitation, our software platform provider, telephony providers, calendar providers, and mobile carriers). Your use may also be subject to those providers’ terms. We do not control and are not responsible for third-party platforms’ availability, changes, pricing, message filtering, spam-labeling, or discontinuation. SMS delivery depends on carrier A2P 10DLC registration and carrier acceptance.
9. Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free operation, that every call will be answered or answered correctly, or any specific number of leads, bookings, revenue, or business outcome. AI systems can make errors; calls or messages may be missed or delayed due to factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, business, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid us in the [three (3)] months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, and some liabilities cannot be limited by law (which may include gross negligence or willful misconduct); in those cases, the limitations apply to the fullest extent permitted.
11. Indemnification
You will defend, indemnify, and hold us and our owners and agents harmless from any third-party claim, loss, or liability arising from: your content or business; your use of the Services; your communications with your customers/callers; your failure to obtain required consents or comply with the TCPA, recording laws, or other laws; claims by your customers or callers; or your breach of these Terms.
12. Term & Termination
These Terms apply while you use the Services. We may suspend or terminate access for breach, non-payment, or unlawful use, and you may stop using the Services at any time. Provisions that by their nature should survive (including IP, disclaimers, limitation of liability, indemnification, and dispute terms) survive termination.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. The parties will first attempt to resolve disputes in good faith. Any unresolved dispute will be resolved in binding arbitration in the state of Colorado, Douglas County. Service Solutions AI will recover reasonable attorneys’ fees and costs.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new “Last updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
15. General
The parties are independent contractors. We are not liable for delays or failures due to events beyond our reasonable control (including platform or carrier outages). You may not assign these Terms without our consent; we may assign them to a successor. If any provision is unenforceable, the remainder stays in effect. These Terms, together with any separate agreement and our Privacy Policy, are the entire agreement regarding the Services. Our failure to enforce a provision is not a waiver.
